Particular Terms of the Mediation Service provided by DonDominio for obtaining a TLS-SSL Security Certificate
Rev: 2-20180620The purpose of this document is to define the Specific Contracting Conditions for the provision of the service for obtaining a TLS-SSL Security Certificate, which are considered a complement to the General Contracting Conditions published and in force at any time on the www.dondominio.com website.
Both these Specific Conditions and the General Contracting Conditions will be understood as expressly and jointly accepted when contracting the services offered on the SSL Certificates website. In case of any discrepancy between these conditions and the general conditions, the specific conditions will take precedence.
The General and Particular Conditions, together with additional information about the technical and/or economic characteristics of the product or service contracted by the Client and the Personal Data Protection Policy published on the DonDominio website, constitute a unified set that binds the parties.
1. Identification of the parties signing this agreement
- On the one hand, the entity SOLUCIONES CORPORATIVAS IP, S.L. (hereinafter identified by the trademark "DonDominio"), with N.I.F. num. B57333601 and domiciled at C/ Menestrals, 14, Manacor-07500, Illes Balears, Spain, Limited Liability Company constituted in Palma de Mallorca before the Notary Mr. Víctor Alonso-Cuevillas Sayrol, registered in the Mercantile Registry of Balearic Islands, Volume 2120, Folio 0, Book 173, Sheet PM-50105.
- On the other hand, the contractor (hereinafter, "CLIENT"), an individual or legal entity that completes the contracting form enabled for that purpose on the DonDominio website, declaring, upon doing so, to know and freely accept, after having been informed of the technical and economic characteristics of the service, the General Contracting Conditions and these Particular Conditions.
- These General Conditions may refer to a "party" or the "parties" to designate DonDominio or the Client individually or jointly.
2. Definitions
- Domain Name: a set of characters that through the DNS identifies an (IP) address on the Internet. A particular server may have more than one Domain Name, but a particular Domain Name is only attributed to one server.
- IP (Internet Protocol): Protocol for communication on a network through packet switching.
- Security Certificate (Transport Layer Security TLS - Secure Sockets Layer, TLS/SSL): a mechanism that allows a secure connection between the CLIENT and the server, establishing an encrypted communication between both that only they can respectively decrypt. Information cannot be read or modified by third parties during the exchange.
- Certification Authority: national or international authority or body, public or private, legitimated to issue and manage Security Certificates (TLS/SSL).
- Hosting Plans: space on the servers owned by DonDominio, where the client's domain name and hosted content are located, administering the resources and applications of the plans offered by DonDominio.
- Control Panel: a tool developed by DonDominio from where the client manages the resources and applications available in the contracted Hosting Plan.
- Client Area: a tool developed by DonDominio assigned to each CLIENT, allowing them to perform actions, including contracting and managing their products, checking issued invoices, updating billing information, accessing the control panel, and making authenticated requests, such that each order triggers the necessary technical and administrative actions to carry out the required action.
3. OBJECT
- These Specific Conditions are intended to regulate the conditions under which the CLIENT accesses the various types of Security Certificates (hereinafter, the “Certificates”) offered by DonDominio, their management by DonDominio, and the provision of the mediation service between the Client and the Certification Entities or Certification Service Providers, as well as setting the conditions for their acquisition, renewal, and the form of remuneration of the client to DonDominio.
- These Specific Conditions, together with the General Contracting Conditions, both published at any time on the Disclaimers and contracts website, constitute the contractual conditions that will govern the relationship of the CLIENT with DonDominio, forming a unified set that obliges the parties. In case of contradiction between these Specific Conditions and the General ones, the provisions established in the first shall prevail.
4. Characteristics of the security Certificates (TLS/SSL)
- The TLS/SSL Certificate is a certification system that accredits the authentication, confidentiality, and integrity of the data transmitted over the Internet. It allows the CLIENT to contract the desired Certificate for their domain and thus have a secure website where their users can exchange information without risks.
- The conditions set forth in these Conditions will apply to the TLS/SSL Certificates provided by the following denominations or trademarks and offered by DonDominio through its web page: GeoTrust, Symantec, RapidSSL, Comodo, Thawte, Trustwave
- Similarly, these Conditions will apply to any other type of TLS/SSL Certificate distributed by DonDominio that, even without being listed above, is attached to these Conditions.
- The technical characteristics of each type of TLS/SSL Certificate, as well as the price to be paid for them, are published at any time on www.dondominio.com/es/products/ssl/ and included in these Conditions.
- The service contracted under these Conditions includes the commitment by DonDominio to carry out the efforts aimed at requesting the TLS/SSL Certificate, as well as its renewal.
- The CLIENT acknowledges that it corresponds to DonDominio to make the application for the TLS/SSL Certificate before the Certification Entities or Certification Service Providers, but the granting of such Certificate is the exclusive responsibility of those entities. Likewise, the ownership and ultimate responsibility for the TLS/SSL Certificate lies with the Certificate holder.
- The CLIENT must follow the instructions indicated by DonDominio, who will request the necessary documentation according to the requirements of the respective Certification Entity.
- DonDominio will provide this service as long as it is in charge of managing the TLS/SSL Certificate. The timeframe for managing this action will depend on each Certification Entity or Certification Service Provider.
- DonDominio will inform the CLIENT of the granting of the TLS/SSL Certificate, so that, in the event of being in charge of its installation, the corresponding actions are performed. Once the TLS/SSL Certificate is granted, it can be downloaded and subsequently installed on the server.
- Upon the CLIENT's request, DonDominio will perform the installation of the TLS/SSL Certificate when said CLIENT has contracted a shared hosting plan with DonDominio for the same domain.
- DonDominio assumes no responsibility for delays caused exclusively by the CLIENT or the Certification Entity or Certification Service Provider in the use of the contracted TLS/SSL Certificate.
- Similarly, in those cases where the CLIENT acts as administrator of their hosting service, they must assume responsibility for any consequences that may arise from its installation/uninstallation.
- Renewal or maintenance of TLS/SSL Certificates: Once the TLS/SSL Certificate is granted, it is the sole responsibility of the Client to renew it, at the current price and published in SSL Certificates.
- In case any data of the TLS/SSL Certificate has changed, the CLIENT must request a manual renewal through their Client Area and provide the new supporting documentation required by the competent Certification Entity or Certification Service Provider.
- The CLIENT acknowledges that it is up to DonDominio to carry out the renewal or maintenance of the TLS/SSL Certificate before the competent bodies, but the effective renewal of said Certificate is the exclusive responsibility of the Certification Entity or Certification Service Provider, therefore, DonDominio shall not be responsible for renewals not being carried out due to causes attributable to those Certification Entities or Certification Services Providers.
- Modification of TLS/SSL Certificate data: It is the obligation of the TLS/SSL Certificate holder to keep their data updated at all times, which they can verify in their Control Panel. For this purpose, if these vary, the CLIENT must request their update from the Client Area and follow the instructions indicated by DonDominio, who will request the necessary documentation according to the requirements of the corresponding Certification Entity for their type of TLS/SSL Certificate. In cases where, after more than 30 days after contracting, the client wishes to request a reissuance of the certificate or add additional domains to it, they must faithfully follow the instructions or procedures indicated on the certificate provider's website in question. In case of error by the client in activating or, as the case may be, canceling the requested modifications, this could mean the annulment or revocation of the contracted certificate and its deactivation. DonDominio is not responsible for any consequences nor will refund any amount derived from this circumstance.
- DonDominio will provide this service as long as it is responsible for managing the TLS/SSL Certificate. The timeframe for managing this action will depend on each Certification Entity or Certification Service Provider.
- The CLIENT must keep in mind that depending on the TLS/SSL Certificate data that have changed, the issuance of a new TLS/SSL Certificate may be necessary and the cancellation of the currently valid one, with the consequent payment of its corresponding fees. This can generally apply concerning the TLS/SSL Certificate holder; the rest of the changes will depend on the type of TLS/SSL Certificate and the requirements of each Certification Entity or Certification Service Provider. DonDominio will appropriately inform the CLIENT of these points.
- The management and administration of the TLS/SSL Certificate will be carried out from its own Control Panel, which allows, among other functions, the following:
- View the data with which the Certificate was requested.
- The status of the Certificate at any moment.
- Provide the Certificate documentation.
- During the contracting, modification, or renewal of a TLS/SSL Certificate, the CLIENT and/or the domain name holder associated with it consent directly and authorize the collection, transfer to the competent Certification Entity or Certification Service Provider, processing, and publication of the data related to the public information of the TLS/SSL Certificate, such as the associated domain, the holder's name, position held in the requesting organization, the name of said organization, department, postal address, email address, telephone number, fax, etc., for itself as well as for the corresponding administrative, technical, and payment contacts, as required by the competent Certification Entity or Certification Service Provider.
- The CLIENT must ensure that the data of the requested TLS/SSL Certificate match, especially in the case of the holder, with those of the associated domain name. In case of discrepancy between these, the Certification Entity may not proceed with the granting or renewal of the TLS/SSL Certificate.
- In cases where the person of the TLS/SSL Certificate holder does not match with the CLIENT, it will be the CLIENT's responsibility to obtain the consent of the first party for the obligation, among others, referred to in the previous section, ultimately taking responsibility for all consequences that the non-compliance with this obligation may generate.
- The CLIENT acknowledges and accepts that the TLS/SSL Certificates offered by DonDominio function and have different characteristics, so it will not be possible to change from one type to another. In this case, it must be processed as a cancellation of the current product and a registration in the new product, being the CLIENT responsible for safeguarding and transferring the information stored in the corresponding products. However, the CLIENT may contract as many products as they wish, of each type of TLS/SSL Certificate, offered by DonDominio.
- The CLIENT must always comply with the conditions established by the TLS/SSL Certificate's Certification Entity, which can be consulted at: SSL Certificates.
5. Price, Billing, and form of payment
- For the acquisition and renewal of each TLS/SSL Certificate subject to these Conditions, the CLIENT must pay DonDominio in advance the corresponding price, according to the rates published at that time on Compare SSL certificates. These amounts do not include Value Added Tax (VAT).
- These rates shall remain in force while the competent Certification Entities or Certification Service Providers do not dispose otherwise, in which case the CLIENT will be notified in advance and as determined in these Conditions. Likewise, these rates may be reviewed by DonDominio as established in the General Contracting Conditions.
- The minimum validity period for each TLS/SSL Certificate will be one year, counted from the date of its contracting, and depending on the type of TLS/SSL Certificate, it may reach a maximum of two (2) years. Once chosen by the CLIENT, the validity period of their TLS/SSL Certificate cannot be modified once the payment is made, although its validity or duration can be successively extended by renewing it up to the maximum limit of ten years.
- Regardless of the initial request period of the TLS/SSL Certificate chosen by the CLIENT, the renewals of the TLS/SSL Certificates can only be made for maximum periods of one year. The renewal of the TLS/SSL Certificate will be made with the payment of the next invoice, as long as it is possible because the CLIENT has not modified the data associated with it or has not proceeded with its cancellation through the forms provided in these Conditions.
- Form of payment: The payment of TLS/SSL Certificates, both in its first request and in its renewal, is a payment in advance made by credit card, bank transfer, or any other means accepted at any time by DonDominio. With the selection of the first of these two options, the CLIENT consents and authorizes DonDominio to make the charges of the corresponding amounts, according to the form of payment and the data of the same indicated in the contracting form.
- At any time, the CLIENT may modify the form of payment and/or associated data, through their Client Area. DonDominio will not proceed to initiate the request or renewal management of the TLS/SSL Certificate while it does not receive from the CLIENT the amount of these services by any of the payment means indicated.
- In cases of first request, once the payment in advance of the TLS/SSL Certificate is made, the CLIENT will have a period of up to twenty-five (25) days to cancel the purchase or correct the choice of the specific Certificate model. Once this period has passed, the Client cannot cancel or modify its choice.
- The CLIENT must pay the price for the renewal of the TLS/SSL Certificate with sufficient advance notice regarding its expiration, so that this maintenance (renewal) of the TLS/SSL Certificate is processed efficiently without causing its loss. In any case, DonDominio does not guarantee the effective recovery of the TLS/SSL Certificate, so it is not responsible for the consequences this fact may entail. In case renewal is impossible, DonDominio will refund the amount paid for it.
- DonDominio will inform the CLIENT and/or the owner of any modification that the Certification Entities or Certification Services Providers may make to the characteristics and duration of these periods.
- Due to the characteristics of the Security Certificates, the CLIENT will not have the right to any refund for its voluntary and early termination, respecting what is established in the current regulations on consumers or final users in any case.
- The CLIENT shall be responsible for the payment of the TLS/SSL Certificates collected in these Conditions, as well as for their renewal, even if they are different from the holder of the TLS/SSL Certificate. In case of conflict between these two figures, DonDominio will not take any action if payment is not received in advance for the requested service execution.
6. ENTRY INTO FORCE
- These Conditions will enter into force on the day of contracting the product, i.e., at the moment the CLIENT requests a TLS/SSL Certificate in DonDominio. The duration of these Conditions will be the one corresponding to the validity period for which each TLS/SSL Certificate is requested and will be tacitly extended for annual periods with the payment of the corresponding invoice for its renewal.
- DonDominio will carry out maintenance and renewal procedures if once notified to the CLIENT of the expiration of the renewal period, the CLIENT does not oppose these procedures and pays the renewal costs with the advance indicated by DonDominio.
- These Conditions will not be terminated until the CLIENT or one of the authorized users to whom the CLIENT has granted sufficient permissions, proceeds to cancel the contracted TLS/SSL Certificate from their CLIENT Area, or its validity period ends without being renewed. The cancellation of the TLS/SSL Certificate will result in the elimination of all documents that the CLIENT has provided for its management.
- In each renewal, the text published on the web Disclaimers and contracts, which contains the most current version of these Conditions, will always be understood as valid.
7. OBLIGATIONS AND RESPONSIBILITIES OF THE PARTIES
- DonDominio acts as an authorized provider of TLS/SSL Certificates for the Certification Entities or Certification Service Providers and will be responsible for carrying out the necessary steps to request, manage, and renew, as well as make the corresponding payments for the TLS/SSL Certificate chosen by the CLIENT and to which DonDominio is subject to these Conditions.
- DonDominio is not responsible if the chosen TLS/SSL Certificate, associated with a domain name, although available when signing these Conditions, is effectively obtained.
- Nor will DonDominio be responsible if the renewal or maintenance of a TLS/SSL Certificate is not effectively carried out, even when DonDominio has carried out all the necessary and established steps by the competent Certification Entities or Certification Service Providers.
- DonDominio will only be liable in cases where the request, renewal, or maintenance not carried out is due to a negligent action by DonDominio and sufficiently proven.
- Therefore, the CLIENT and/or the holder of the TLS/SSL Certificate expressly waives claiming any liability, contractual or extracontractual, damages to DonDominio, the Certification Entity, or the competent Certification Services Providers, for not obtaining or renewing the affected TLS/SSL Certificate, without prejudice to exercising the legal actions they may have before the competent body or provided by current legislation.
- If the non-obtainment or non-renewal of the TLS/SSL Certificate is produced by a sufficiently proven negligent action of DonDominio, it will carry out the necessary steps to request another TLS/SSL Certificate desired by the affected holder or, at the CLIENT's request, the amount of money advanced for obtaining this service will be returned. All without prejudice to the legal actions that may correspond.
- Neither DonDominio nor the competent Certification Entity or Certification Service Provider will, in any case, be responsible for the infringement of intellectual or industrial property rights, or any other legitimate rights or interests that may arise from the TLS/SSL Certificate requested by the CLIENT.
- DonDominio is not responsible for what is exclusively attributable to the CLIENT and/or holder, nor what is attributable to the action of the competent Certification Entity or Certification Service Provider, as well as errors resulting from its application process.
- Neither DonDominio nor the corresponding Certification Entity or Certification Service Provider will be responsible for direct or indirect damages that may be caused by the CLIENT and/or holder's failure to comply with the regulatory standards of TLS/SSL Certificates.
- DonDominio and the corresponding Certification Entity or Certification Service Provider reserve the right to suspend or cancel the CLIENT and/or holder's TLS/SSL Certificate if it is used contrary to any applicable law or customary Internet usage policy, or if the holder uses it for illegal activities.
- DonDominio and the corresponding Certification Entity or Certification Service Provider reserve the right to block, deny, cancel, or transfer any TLS/SSL Certificate whenever deemed necessary, among others, to comply with applicable law, legal requirements, any dispute resolution procedure, violation of these Conditions' terms, avoid any civil or criminal liability of DonDominio, protect the integrity and stability of DonDominio and the Certification Entity or Certification Service Provider.
- DonDominio will assume no responsibility for content hosted by the CLIENT through a TLS/SSL Certificate, especially in cases where it is contrary to Spanish laws or infringes third-party rights, particularly those related to intellectual property, being this an exclusive responsibility of the CLIENT.
- In no case does DonDominio accept responsibilities arising from any error, omission, interruption, loss, deletion, defect, theft, destruction, unauthorized access and/or alteration of stored content, business interruption, or any other damages caused by the operation of TLS/SSL Certificates and/or not meeting CLIENT expectations.
- By obtaining a TLS/SSL Certificate, the person listed as the holder (whether or not the CLIENT) acquires only the right to use it for the period determined by the competent Certification Entity or Certification Service Provider and assumes all obligations arising throughout these Conditions as well as the norms established by the corresponding Certification Entity or Certification Service Provider.
- The CLIENT assumes full responsibility and exclusive risk that the request complies with the competent Certification Entity or Certification Service Provider's regulations at any time and for each case.
- The CLIENT and/or the domain name holder must comply at all times with the requirements set by the competent Certification Entity or Certification Service Provider and DonDominio. Consequently, the domain name holder and the CLIENT subsidiarily assume exclusively the consequences of failing to meet the aforementioned requirements, when such failure can be attributed to them. Therefore, the CLIENT must inform the holder if they do not coincide with the same person or entity.
- The CLIENT and/or holder guarantees DonDominio that the chosen TLS/SSL Certificate is not requested for unlawful purposes nor infringes on intellectual and industrial property rights or other legitimate rights and interests of third parties.
- The CLIENT and/or the holder declares and guarantees that all information, including the data provided for the TLS/SSL Certificate, supplied to DonDominio is complete and correct. They must immediately inform DonDominio of any modifications to such information.
- The holder and/or CLIENT, as the case may be, authorizes and consents DonDominio and the corresponding Certification Entity or Certification Service Provider, to contact the holder to verify that all existing data is correct. If the existing information is not accurate, the holder commits to proceed, as soon as possible, to update it, as knowingly providing incorrect information constitutes a material breach of these Conditions and will be grounds for cancellation of their TLS/SSL Certificate.
- The holder and/or CLIENT is obliged to respond as soon as possible to any request from DonDominio and the corresponding Certification Entity or Certification Service Provider, regarding updating the data provided for obtaining the TLS/SSL Certificate. In case of non-compliance, DonDominio may cancel or deactivate the TLS/SSL Certificate.
8. Termination
- These Conditions will terminate when, in addition to the legally established causes and those stipulated in the various clauses of these Conditions, any of the following occur:
- Mutual agreement of the parties.
- End of the initial duration period or successive extensions
- Resolution for non-compliance by any of the parties, including by the TLS/SSL Certificate holder when they are different from the CLIENT, of the obligations derived from these Conditions.
- DonDominio reserves the right not to renew or maintain the TLS/SSL Certificate whenever the CLIENT has not made the corresponding payment within the established time to ensure renewal.
- In case of resolution or termination of the Conditions, due to the aforementioned causes or any others permitted in law, the CLIENT must fulfill the obligations assumed prior to termination of these Conditions towards DonDominio and third parties.
9. Intellectual Property
- In relation to the licenses of TLS/SSL Certificates, the CLIENT acknowledges the ownership of their suppliers over all intellectual property rights they may have over them. The CLIENT must observe the terms of those licenses and will be liable for their peaceful use. The CLIENT acknowledges and accepts that the trademarks of those licenses are the property of their suppliers and can only be used under their authorization.
10. Personal Data Protection Policy
- Regarding personal data that the Client provides to DonDominio for the contracting of Services and queries or communications of any kind related to their management, the Personal Data Protection Policy published at the following link shall apply: Privacy Policy.
11. Express acceptance of these Conditions
- These Specific Conditions, the General Contracting Conditions, the technical information of the services published on the DonDominio website, and the Personal Data Protection Policy are inserted in the procedure for contracting the DonDominio services selected by the CLIENT, with which the entire content is expressly accepted by contracting the services.
- Activation of the submission button of the contracting request through the DonDominio website confers the status of "CLIENT" and expresses full and unreserved acceptance of the Contracting Conditions for the requested Services in the version made available electronically by DonDominio prior to the activation of the CONTRACTING button.
- The latest version of the Contracting Conditions for each service is available at the electronic address Disclaimers and contracts. Before contracting any of the offered Services, read carefully the Contracting Conditions that regulate the provision of the Service you desire, including, the technical, operational, and functional characteristics of the Service, as well as the tariffs to be paid.
- This agreement has been written in an English and Spanish version. In case of discrepancies, the Spanish version shall prevail.
